These Terms of Service (the "Terms") are a binding agreement between you and VaultLMS ("we", "us") governing your purchase and use of the VaultLMS software, license keys, updates, and support services (together, the "Services"), and your use of https://vaultlms.com/. By purchasing a subscription, creating an account, or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.
VaultLMS is a WordPress plugin distributed under the GNU General Public License, version 2 or later (GPL-2.0+). Nothing in these Terms limits the rights the GPL grants you in the software code itself. What your subscription purchases is not the code alone but the surrounding Services: license keys, automatic updates delivered through our update server, new releases, and access to support. The VaultLMS name and logo are our trademarks and are not licensed under the GPL; you may not market a derivative product under the VaultLMS name without written permission.
You must be at least 18 years old (or the age of majority where you live) to purchase the Services. You are responsible for the accuracy of your account information and for keeping your login credentials and license keys confidential. Activity that occurs under your account or with your license keys is your responsibility; contact us immediately at support@vaultlms.com if you suspect unauthorized use.
The Services are sold as a recurring subscription billed monthly or annually, depending on the plan you choose at checkout. Payments are processed by Stripe; we do not see or store your full card number.
Your subscription renews automatically at the end of each billing period and your payment method is charged at the then-current rate for your plan, unless you cancel before the renewal date. For annual plans we send a renewal reminder by email before the renewal charge. If we change the price of your plan, we will give you advance notice and the new price will apply from your next renewal, giving you the opportunity to cancel first. You are responsible for any sales tax or VAT that applies to your purchase.
You can cancel your subscription at any time from your account or by emailing support@vaultlms.com. Cancelling stops future renewal charges; it does not trigger a refund of charges already made (see our Refund Policy for when refunds apply). After cancellation, your license remains active and you continue to receive updates and support until the end of the period you have paid for. After that, the plugin keeps working on your site, but you will no longer receive updates, new releases, or support.
Refunds are governed by our Refund Policy, which is part of these Terms. In short: we offer a money-back guarantee on initial purchases within the window stated in the Refund Policy, and renewal charges can be refunded if requested promptly after the renewal date.
Each plan permits activation on a stated number of WordPress sites. You may deactivate a license from one site and activate it on another (for example, when moving from staging to production). You may not share, resell, or publish your license keys, use one license across more sites than your plan allows, or circumvent or interfere with the license and update server. We may revoke license keys obtained fraudulently or used in violation of these Terms.
An active subscription includes software updates and email support for installing, configuring, and using VaultLMS, and for verified defects in the software. Support does not include custom development, modifications of plugin code, repairs to sites broken by third-party plugins or themes, or general WordPress site administration and hosting issues. Support is provided in English during our posted business hours. We work to respond promptly but do not guarantee specific response or resolution times.
You agree not to use the Services to violate any law; to infringe the rights of others; to distribute malware; or to build, train, or operate a service whose primary purpose is to circumvent the Services. You are responsible for the sites you run with VaultLMS, including the content you publish and your own compliance obligations toward your students and customers.
VaultLMS runs on your own WordPress installation. Your courses, questions, student records, and sales data live in your database, on your hosting — we do not have access to them and do not collect them. What the plugin transmits to us is limited to license and update checks, as described in our Privacy Policy. You are the controller of any personal data you collect from your own students.
The Services interoperate with third-party services that have their own terms, including Stripe (payment processing on your sites and ours), your hosting provider, and WordPress itself. We are not responsible for third-party services, and your use of them is at your own risk and subject to their terms.
Some plans include optional AI-assisted features, such as AI question generation and the AI Support Inbox. These features are turned off until you enable them and require your own account and API key with a third-party AI provider (currently OpenAI). You contract directly with that provider, you are solely responsible for all usage fees it charges you, and your use is subject to that provider's terms and privacy policy — we do not supply the AI model and your subscription includes no AI usage credits. When you enable a feature, the material you choose to process (for example, source text you paste, or incoming support emails together with the course and student information used to answer them) is transmitted from your site to the AI provider to generate output. You are the controller of any personal data involved, and you are responsible for having a lawful basis for that processing, for disclosing it to your students or customers, and for your own compliance obligations. AI-generated output — including answer keys, explanations, and drafted or automatically sent replies — may be inaccurate or incomplete; you are responsible for reviewing it before you publish or send it, and any automatic-send option is enabled and used at your sole discretion and risk. The disclaimers and limitation of liability in these Terms apply fully to the AI features and any output they produce.
Except for the GPL rights in the plugin code described above, we and our licensors retain all right, title, and interest in the Services, including the VaultLMS trademarks, our website content, and our documentation. Feedback you send us may be used without obligation to you.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH EVERY THEME, PLUGIN, OR HOSTING ENVIRONMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your sites, your content, your violation of these Terms, or your violation of any law or the rights of a third party.
We may suspend or terminate your access to the Services if you materially breach these Terms (for example, license-key abuse or chargeback fraud) and, where practical, after notice and an opportunity to cure. Sections that by their nature should survive termination — including the disclaimers, limitation of liability, and indemnification — survive.
Any claim or cause of action arising out of or related to the Services must be filed within one year after the claim arose; after that it is permanently barred, except where applicable law requires a longer period that cannot be waived.
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or hosting outages, power failures, or the acts or omissions of third-party providers.
You may not assign or transfer these Terms or your subscription without our prior written consent. We may assign these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.
If any provision of these Terms is held unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions will remain in full force. These Terms, together with the Refund Policy and Privacy Policy, are the entire agreement between you and us regarding the Services and supersede any prior agreements on that subject. Our failure to enforce any provision is not a waiver of our right to enforce it later.
We may update these Terms from time to time. If a change is material, we will give notice by email or a notice on https://vaultlms.com/ before it takes effect. Continuing to use the Services after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by the laws of Utah, without regard to its conflict-of-law rules, and disputes will be resolved in the courts located there, except where applicable consumer law gives you the right to bring claims where you live.
